Under Section 402 of the Not-For-Profit Corporation Law

IT IS HEREBY CERTIFIED THAT

    1. The name of the corporation is:

    2. SOUTHWEST ASIA VETERANS ASSOCIATION OF GREATER NEW YORK INC.
       
    3. The corporation is a corporation as defined in subparagraph (a)(5) of Section 102 (Definitions) of the Not-For-Profit Corporation Law.

    5. The purpose or purposes for which the corporation is formed are as follows:

      a. Said corporation is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 (c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

      b. The corporation will sponsor activities for United States Veterans of Southwest Asia theater conflicts. Activities such as: community awareness forums, employment opportunity seminars and historical awareness seminars detailing the sacrifice of the American soldier and the battles they fought.

      c. The corporation will educate the public on the unique needs of America’s post-Vietnam era veterans. Additionally, it may provide scholarships for veterans and their children.

      d. Nothing herein shall authorize the corporation to operate or maintain a nursery school, elementary school or secondary school.

      e. Nothing herein shall authorize the corporation to operate or maintain an institution of higher learning or to grant degrees.

    1. In furtherance of its corporate purposes, the corporation shall have all the general powers
    2. enumerated in Section 202 of the Not-For-Profit Corporation law, together with the powers to solicit grants and contributions for the corporate purposes.
    3. Nothing herein shall authorize this corporation, directly or indirectly; to engage in or include among its purposes, any of the activities mentioned in Not-For-Profit Corporation Las, Section 404(b)-(v).
    4. The corporation shall be a Type B corporation pursuant to section 201 of the Not-For-Profit Corporation Law.
    5. The names of the initial directors of the corporation are as follows:

    7. Notwithstanding any other provision of these articles, the Corporation shall not carry on any other activities not permitted to be carried on (a) by a charitable organization exempt from Federal income tax under section 501 (c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law) or (b) by a charitable organization contributions to which are deductible under section 170 (c)(2) of the Internal Revenue Code of 1986 (or corresponding provision of any future United States Internal Revenue Law).
